Terms of Service

Please read these Terms of Service carefully. By creating an account or using any part of the Baseline Suite, you and your organisation agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

In these Terms of Service:

  • "ClearStride Tools," "we," "us," "our" refers to the operator of the Baseline Suite products.
  • "Service" means the BaselineDocs, BaselineReqs, and BaselineInventory software applications, APIs, and related infrastructure made available by ClearStride Tools.
  • "Customer," "you," "your" refers to the organisation or individual who subscribes to and uses the Service.
  • "Authorised Users" means the individuals permitted by the Customer to access the Service under the Customer's account.
  • "Customer Data" means all data, content, and information submitted by the Customer or its Authorised Users to the Service.
  • "Subscription" means a paid or trial plan that grants access to the Service for a defined period and user count.

2. The Service

ClearStride Tools provides the Baseline Suite — a collection of SaaS products for structured business operations, including:

  • BaselineDocs — document control and version management for quality management systems.
  • BaselineReqs — requirements capture, traceability, and change management.
  • BaselineInventory — inventory tracking, bill-of-materials management, and operations records.

We reserve the right to modify, enhance, or discontinue features of the Service at any time. We will provide reasonable advance notice of changes that materially reduce functionality available to active subscribers.

We target a monthly uptime of 99.5% for each product, excluding scheduled maintenance windows, which we will announce with at least 48 hours' notice where practicable. We do not offer a formal SLA at this time; commitments for specific uptime guarantees are available only under a custom enterprise agreement.

3. Accounts & Access

3.1 Registration

To use the Service, you must register an organisation account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of this information.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at support@clearstridetools.com if you suspect unauthorised access. We are not liable for any loss resulting from unauthorised access to your account that occurs due to your failure to maintain credential security.

3.3 Authorised Users

Your Subscription grants access for the number of Authorised Users specified in your plan. You may not share login credentials among multiple individuals. You are responsible for ensuring that all Authorised Users comply with these Terms. Violations by Authorised Users may result in suspension or termination of the Customer's account.

3.4 Age Requirement

The Service is intended for business use. Authorised Users must be at least 16 years of age. By accessing the Service, you represent that you meet this requirement.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload, store, or transmit malicious code, viruses, or any software designed to damage or interfere with systems.
  • Attempt to gain unauthorised access to any part of the Service, its infrastructure, or other customers' data.
  • Probe, scan, or test the vulnerability of the Service without prior written consent from ClearStride Tools.
  • Reverse engineer, decompile, or otherwise attempt to derive source code from the Service.
  • Scrape, harvest, or systematically extract data from the Service by automated means.
  • Resell, sublicense, or otherwise make the Service available to third parties outside your organisation without our written consent.
  • Use the Service in a manner that imposes an unreasonable burden on our infrastructure.
  • Store, process, or transmit personal health information (PHI) or payment card data (PCI) unless expressly agreed in a separate written addendum.

We reserve the right to suspend access immediately if we determine, in our reasonable judgement, that your use violates this section or poses a security risk to the Service or other customers.

5. Customer Data

5.1 Ownership

You retain all ownership rights to your Customer Data. These Terms do not grant ClearStride Tools any rights to your Customer Data except as necessary to provide the Service.

5.2 Licence to Operate

By submitting Customer Data to the Service, you grant ClearStride Tools a limited, non-exclusive, worldwide licence to store, process, and display your Customer Data solely to provide the Service to you and your Authorised Users.

5.3 Responsibility

You are solely responsible for the accuracy, quality, legality, and appropriateness of your Customer Data, and for obtaining all necessary rights and consents to upload it to the Service.

5.4 Data Processing

Where Customer Data includes personal data subject to applicable data protection law, ClearStride Tools acts as a data processor on your behalf. Our processing activities are described in our Privacy Policy and, upon request, a Data Processing Agreement.

5.5 Data Portability and Deletion

You may export your Customer Data at any time while your account is active. Upon cancellation, we retain Customer Data for 30 days to allow for reactivation or export. After that period, Customer Data is permanently deleted from our systems, subject to legal obligations and backup retention schedules described in our Privacy Policy.

6. Billing & Payment

6.1 Subscription Plans and Fees

The Service is offered on subscription plans with monthly or annual billing cycles. Current pricing, including per-seat costs, add-ons, and suite bundle discounts, is available on the pricing page within the Service. We reserve the right to change pricing with at least 30 days' written notice to active subscribers. Price changes will take effect at the start of your next billing cycle.

6.2 Free Trial

New accounts may access the Service under a free trial for a limited period as specified at signup. No payment method is required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Trial accounts have reduced user and feature limits.

6.3 Payment

Paid subscriptions are billed in advance for each billing cycle. Payments are processed by Stripe. By providing payment details, you authorise us to charge your payment method for all fees due. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

6.4 Seat and Plan Changes

You may increase or decrease your seat count or upgrade your plan at any time within the Service. Increases take effect immediately. Decreases take effect at the start of the next billing cycle. Proration is not applied; mid-cycle changes do not result in additional charges or credits.

6.5 Custom Contracts

Self-serve plans are available for organisations with up to 200 seats. Organisations requiring more than 200 seats must contact us at hello@clearstridetools.com to arrange a custom enterprise agreement.

6.6 Taxes

Fees quoted are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities. Where required by law, we will collect and remit applicable taxes.

6.7 Late Payment

If a payment fails, we will notify you and provide a reasonable cure period. If payment is not received within 10 days of the due date, we may suspend access to the Service until the account is brought current. We reserve the right to terminate accounts with persistent payment failures after 30 days.

7. Intellectual Property

7.1 ClearStride Tools IP

The Service, including all software, interfaces, documentation, branding, and underlying technology, is owned by ClearStride Tools and is protected by intellectual property laws. These Terms do not grant you any rights in the Service beyond the limited right to use it under your Subscription.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant ClearStride Tools a perpetual, irrevocable, royalty-free licence to use that feedback without restriction. We are under no obligation to implement any feedback.

7.3 Third-Party Components

The Service may include open-source or third-party software components, which are subject to their own licences. Nothing in these Terms limits your rights under those licences.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public business information disclosed in connection with the Service, using at least the same degree of care used to protect its own confidential information (and no less than reasonable care). This obligation does not apply to information that is or becomes publicly known through no fault of the receiving party, is independently developed by the receiving party, or is required to be disclosed by law.

ClearStride Tools will treat your Customer Data as confidential and will not access it except to provide the Service, respond to support requests made by you, or as required by law.

9. Warranties & Disclaimer

Each party represents that it has the authority to enter into these Terms and that doing so does not violate any other agreement.

We warrant that the Service will perform materially as described in our documentation and that we will provide it with reasonable skill and care.

Except as expressly stated above, the Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that data loss will not occur. You are responsible for maintaining appropriate backups of your Customer Data.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ClearStride Tools and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to these Terms or the Service, including loss of profits, loss of data, business interruption, or reputational harm, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for all claims arising out of or related to these Terms in any twelve-month period will not exceed the greater of (a) the total fees paid by you to ClearStride Tools in the three months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).

These limitations reflect a reasonable allocation of risk between the parties. Some jurisdictions do not allow certain exclusions or limitations of liability; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless ClearStride Tools and its affiliates, officers, employees, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your Customer Data, including any claim that it infringes or misappropriates a third party's rights; or (c) your violation of any applicable law or third-party rights.

12. Termination

12.1 Termination by You

You may cancel your Subscription at any time through the account settings within the Service. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Service until that date. No refunds are provided for unused portions of a prepaid billing period.

12.2 Termination by ClearStride Tools

We may suspend or terminate your account: (a) immediately if you materially breach these Terms and fail to cure within 10 days of notice (where cure is possible); (b) immediately for violations of Section 4 (Acceptable Use) that pose a security risk; (c) with 30 days' notice for any other reason, in which case we will refund a pro-rated portion of prepaid fees for the unused period.

12.3 Effect of Termination

Upon termination, your right to access the Service ceases. Your Customer Data will be retained for 30 days following termination, during which you may request an export. After that period, Customer Data is permanently deleted. Sections on Intellectual Property, Confidentiality, Warranties, Limitation of Liability, Indemnification, Disputes, and General Provisions survive termination.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at support@clearstridetools.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.3 Jurisdiction

Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in King County, Washington. Each party consents to personal jurisdiction in those courts.

13.4 Waiver of Class Action

To the extent permitted by law, all claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any applicable order forms, Data Processing Agreement, and our Privacy Policy, constitute the entire agreement between you and ClearStride Tools regarding the Service and supersede all prior agreements.

14.2 Modifications

We may update these Terms from time to time. We will notify you of material changes by email to the account administrator at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance. If you do not agree to the updated Terms, you may cancel your Subscription before the effective date.

14.3 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.

14.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

14.5 Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

14.6 Force Majeure

Neither party is liable for any delay or failure to perform caused by circumstances beyond their reasonable control, including natural disasters, acts of government, labour disputes, or internet infrastructure failures.

14.7 Notices

Notices to ClearStride Tools must be sent to support@clearstridetools.com. Notices to you will be sent to the email address associated with your account. Notices are effective when sent.
